Terms of Service

These Terms of Service (“Terms”) form a legal agreement between Zodeve Corporation (“Zodeve,” “we,” “us,” or “our”) and you (“you,” “User”). By accessing or using the Zodeve platform, including the browser-based Cloud Development Environment, tools, services, websites, and related products (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not access or use the Services.

1. Eligibility & Acceptance

By using the Services, you represent and warrant that:

  1. You are at least 18 years old (or the age of legal majority in your jurisdiction).
  1. You have the authority to enter into these Terms.
  1. Your use complies with all applicable laws and regulations.

We may revise these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms.

2. Description of the Services

Zodeve provides a cloud-based development environment, remote workspaces, integrated toolchains, project hosting, collaboration features, and related developer productivity services. Some features require a paid subscription.

We may modify or discontinue parts of the Services at any time without liability.

3. License to Use the Services

Subject to compliance with these Terms, Zodeve grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes.

Unless expressly permitted through a commercial or enterprise agreement, you may not:

  • Resell or sublicense the Services
  • Copy, modify, or distribute any part of the Services
  • Reverse engineer or attempt to extract source code
  • Circumvent security or access controls

All rights not expressly granted to you remain with Zodeve Corporation.

4. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity under your account
  • Providing accurate and updated information

We may suspend or terminate accounts suspected of misuse, fraud, or violation of these Terms.

5. Your Content

You retain ownership of code, data, projects, and other materials you upload or create using the Services (“User Content”).

By submitting User Content, you grant Zodeve a limited license to store, display, and process it solely for the purpose of providing the Services.

You represent and warrant that your User Content:

  • Does not infringe the rights of others
  • Is lawful and permissible
  • Does not contain harmful or malicious code

You are fully responsible for any User Content you submit.

6. Paid Plans & Billing

If you subscribe to a paid plan:

  • You authorize us to charge your payment method for recurring fees.
  • Fees are non-refundable unless required by law.
  • Failure to pay may result in suspension or termination.
  • We may adjust pricing with reasonable notice.

Enterprise or custom agreements may include additional terms.

7. Acceptable Use Restrictions

You agree not to:

  • Use the Services for illegal or harmful activities
  • Upload or distribute malware or malicious code
  • Attempt unauthorized access to systems or accounts
  • Interfere with the performance or integrity of the Services
  • Use automated scraping, crawling, or extraction tools
  • Overload or stress-test the platform without permission

Violation may result in immediate termination.

8. Service Availability

Zodeve strives for high availability but does not guarantee uninterrupted service.

We may suspend Services for maintenance, updates, or unforeseen issues.

Zodeve is not liable for:

  • Downtime or service interruptions

  • Loss of code, data, or productivity
  • Delays or failures caused by third-party systems or networks

Users should maintain their own backup copies of critical code/data.

9. Third-Party Services

The Services may integrate with third-party tools, extensions, or cloud providers. Your use of third-party services is governed by their own terms and policies. Zodeve is not responsible for third-party service failures or data practices.

10. Intellectual Property

All Zodeve trademarks, branding, software, UI, and platform components are owned by Zodeve Corporation and protected by global intellectual property laws.

You may not use our branding, name, or marks without written permission.

11. Termination

We may suspend or terminate your access for any reason, including:

  • Breach of these Terms
  • Non-payment
  • Harmful or unlawful behavior

Upon termination, your license to use the Services ends. Certain provisions (including liability limitations) survive termination.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law:

  • Zodeve shall not be liable for indirect, incidental, punitive, or consequential damages.
  • Our total liability for any claim shall not exceed the amount paid to Zodeve in the past 12 months; if you have paid nothing, liability is zero.

14. Indemnification

You agree to indemnify and hold harmless Zodeve Corporation, its officers, employees, and partners from any claims, damages, losses, or expenses arising from:

  • Your use of the Services
  • Your User Content
  • Violation of these Terms or applicable laws

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

Any disputes shall be resolved exclusively in state or federal courts located in Delaware, USA.
